Godrej Family Finalizes Settlement Agreement, Dividing Business Empire

Godrej Industries, a publicly traded company, will become the primary holding company for the Adi/Nadir Godrej family. The unlisted Godrej & Boyce Manufacturing Company, the Godrej group's oldest company, will be the main company for the Jamshyd Godrej and his sister Smita Godrej Crishna family. Godrej Industries holds significant stakes in Godrej Agrovet (64.9%), Godrej Consumer Products (23.7%), and Godrej Properties (47.3%).

The listed entities of the Godrej group are not involved in the family settlement agreement or the brand and non-compete agreement and have not assumed any liability. The parties to these agreements include the promoters and/or members of the promoter group and their immediate relatives from both the Godrej Industries Group companies and the Godrej & Boyce group companies.

As per the settlement plan, all five listed companies will now be controlled by the Adi/Nadir Godrej family, while Godrej & Boyce will be managed by the Jamshyd Godrej family. Based on Tuesday's closing prices, the Godrej family's stake in the five listed companies is valued at Rs 1.53 trillion, representing a combined market capitalization of Rs 2.44 trillion.
